1. Definitions

| License Server | The server operated by Ipportunities that validates license keys and manages domain activations. |
| License Key | The unique identifier issued to Customer upon purchase to activate and validate the License. |
| Third-Party AI Provider | External AI service providers (e.g., Anthropic/Claude, OpenAI, Google Gemini, Mistral, DeepSeek) whose APIs are called by the Software using Customer’s own API keys. |
| Freemius | Freemius Inc., the Merchant of Record that processes payments, handles VAT, and manages refunds on behalf of Ipportunities. |
| Premium Features | Features available only with a paid License, including document upload (PDF/DOCX), synonym management, webhooks, advanced analytics, lead extraction, and multi-provider support. |
| Free Tier | The no-cost version of the Software with limited functionality. |
| Domain | A fully qualified domain name on which the Software is activated. |
2. Acceptance
By downloading, installing, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software. If you are accepting on behalf of an organization, you represent that you have the authority to bind that organization.
3. License Grant
3.1 Scope
Subject to the terms of this Agreement, Ipportunities grants you a non-exclusive, non-transferable, revocable license to install and use the Software on the number of Domains permitted by your License tier.

3.3 Free Tier
The Free Tier license is perpetual and does not require a License Key. It is subject to the functional limitations listed in Section 3.2. Ipportunities reserves the right to modify Free Tier limits in future versions.
3.4 Paid Tiers
Paid licenses are valid for the subscription period purchased through Freemius. Upon expiration or cancellation, the license degrades to the Free Tier (see Section 12).
4. GPL-2.0+ Compatibility
4.1 Open Source License
The Software’s source code is licensed under the GNU General Public License, version 2 or later (GPL-2.0+), as required by the WordPress ecosystem. You may exercise the rights granted under the GPL with respect to the source code.
4.2 Commercial License Scope
This Agreement covers the commercial aspects that are beyond the scope of the GPL, including:
- Access to premium features gated by license validation;
- License key issuance and domain activation via the License Server;
- Support services as described in the Support Policy;
- Access to updates and new premium features during the subscription period.
4.3 No Conflict
In the event of a conflict between this Agreement and the GPL-2.0+, the GPL prevails with respect to the source code. This Agreement does not restrict any rights granted by the GPL. However, the GPL does not grant rights to License Keys, License Server access, or support services.
5. License Validation
5.1 Mechanism
The Software periodically contacts the License Server to validate your License. Validation checks occur approximately every 4 hours during normal operation and every 1 hour when the admin dashboard is active. These checks transmit:
- License Key;
- Activated domain;
- Plugin version;
- Server IP address.
5.2 Domain Activation
Each License Key must be activated on the Domain(s) where the Software is used. Activation is performed via the Software’s admin interface and registers the Domain with the License Server. The number of simultaneous activations is limited by your License tier.
5.3 Grace Period
If a validation check fails (e.g., due to network issues or server downtime), the Software will continue to operate with full functionality for a grace period of 7 days. After the grace period expires without a successful validation, the Software degrades to Free Tier functionality.
5.4 Connectivity Requirement
An internet connection is required for license validation. The Software cannot function in fully air-gapped environments for paid tiers.
6. Freemius as Merchant of Record
6.1 Payment Processing
All payments for the Software are processed by Freemius as Merchant of Record. Freemius handles billing, VAT calculation and remittance, invoicing, and refund processing on behalf of Ipportunities.
6.2 Refund Policy
Refund requests are handled by Freemius in accordance with their refund policy. A 7-day money-back guarantee applies to new purchases. Contact Freemius support for refund requests.
6.3 Separate Agreement
Your relationship with Freemius regarding payment processing is governed by Freemius’ own terms of service. Ipportunities is not a party to the payment transaction.
7. Restrictions
You shall NOT:
- Redistribute the Software (including Premium Features) as a standalone product, whether modified or unmodified;
- Circumvent the license validation mechanism, including but not limited to modifying the License Server communication, spoofing validation responses, or disabling license checks;
- Share License Keys with third parties not covered by your License;
- Use a single License Key on more Domains than permitted by your tier;
- Remove or alter copyright notices, license headers, or attribution from the Software;
- Use the Software for any purpose that violates applicable law.
Nothing in this section restricts rights granted under the GPL-2.0+ with respect to the source code (see Section 4).
8. Intellectual Property
8.1 Software Ownership
Ipportunities retains all right, title, and interest in and to the Software, including all intellectual property rights, subject to the GPL-2.0+ license for the source code. This Agreement does not transfer any ownership rights.
8.2 Customer Content
You retain all right, title, and interest in your content, including website content crawled and indexed by the Software, uploaded documents, and chatbot configuration. Ipportunities does not access, collect, or claim rights to your content — it is stored exclusively in your own WordPress database.
8.3 AI-Generated Output
Output generated by Third-Party AI Providers through the Software is subject to the respective provider’s terms of service. Ipportunities makes no claim of ownership over AI-generated responses. See the AI Disclaimer for details.
9. Third-Party AI Providers
9.1 Customer Responsibility
The Software connects to Third-Party AI Providers using API keys that you provide. You are responsible for:
- Obtaining and maintaining valid API keys;
- Complying with each provider’s terms of service, usage policies, and acceptable use policies;
- Any costs charged by the provider for API usage;
- The selection of an appropriate provider for your use case.
9.2 No Agency
Ipportunities does not act as an intermediary, agent, or processor for Third-Party AI Provider communications. API calls are made directly from your server to the provider’s endpoints.
9.3 Supported Providers
The Software currently supports: Claude (Anthropic), OpenAI, Google Gemini, Mistral, and DeepSeek. Availability of providers may change between versions.
10. Disclaimer of Warranties
10.1 AS IS
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.2 AI Accuracy
IPPORTUNITIES DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI-GENERATED OUTPUT. AI MODELS MAY PRODUCE INCORRECT, MISLEADING, OR INAPPROPRIATE RESPONSES (“HALLUCINATIONS”). SEE THE AI DISCLAIMER.
10.3 Third-Party Services
IPPORTUNITIES DOES NOT WARRANT THE AVAILABILITY, PERFORMANCE, OR ACCURACY OF THIRD-PARTY AI PROVIDERS, HOSTING SERVICES, OR ANY OTHER EXTERNAL SERVICES.
10.4 License Server
WHILE IPPORTUNITIES USES COMMERCIALLY REASONABLE EFFORTS TO MAINTAIN LICENSE SERVER AVAILABILITY, TEMPORARY OUTAGES MAY OCCUR. THE 7-DAY GRACE PERIOD (SECTION 5.3) MITIGATES THE IMPACT OF SUCH OUTAGES.
11. Limitation of Liability
11.1 General Exclusion
EXCEPT IN THE CASE OF INTENTIONAL MISCONDUCT (OPZET) OR GROSS NEGLIGENCE (GROVE SCHULD), IPPORTUNITIES ACCEPTS NO LIABILITY FOR ANY DAMAGES ARISING IN CONNECTION WITH THE SOFTWARE OR SERVICES UNDER THIS AGREEMENT. THIS INCLUDES BUT IS NOT LIMITED TO DAMAGES IN THE FORM OF DATA LOSS, FAILURE TO OPERATE, LOST REVENUE, MISSED PROFITS, LOSS OF GOODWILL, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
11.2 AI Output
WITHOUT LIMITING THE GENERALITY OF SECTION 11.1, IPPORTUNITIES SHALL NOT BE LIABLE FOR ANY CLAIMS, DAMAGES, OR LOSSES ARISING FROM THE CONTENT OF AI-GENERATED RESPONSES, INCLUDING BUT NOT LIMITED TO CLAIMS OF DEFAMATION, PRIVACY VIOLATIONS, OR INCORRECT ADVICE. AI RESPONSES ARE GENERATED BY THIRD-PARTY PROVIDERS OUTSIDE IPPORTUNITIES’ CONTROL.
12. Termination
12.1 By Customer
You may terminate this Agreement at any time by uninstalling the Software and deactivating your domain(s). Cancellation of a paid subscription is handled through Freemius.
12.2 By Ipportunities
Ipportunities may terminate this Agreement if you breach any of its terms. Ipportunities will make reasonable efforts to notify you of the breach and provide an opportunity to cure, except in cases of willful circumvention of license restrictions.
12.3 Effect of Termination
Upon termination of a paid License:
- The Software degrades to Free Tier functionality;
- All data (conversations, knowledge base, configurations) remains in your WordPress database — Ipportunities does not delete your data;
- Your domain activation is removed from the License Server;
- You lose access to Premium Features, support services, and updates.
12.4 Survival
Sections 8, 10, 11, 13, and 14 survive termination of this Agreement.
13. Data Protection
Processing of personal data in connection with the Software is described in our Privacy Policy. Where applicable, the Data Processing Agreement governs Ipportunities’ processing of personal data on your behalf.

14. Governing Law and Disputes
14.1 Governing Law
This Agreement is governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of laws provisions.
14.2 Jurisdiction
Any disputes arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the competent courts in the Netherlands.
14.3 Consumer Rights
Nothing in this Agreement affects mandatory consumer protection rights under applicable law, including EU consumer protection legislation. If you are a consumer within the meaning of applicable law, mandatory provisions of your country of residence may apply.
15. Modifications
15.1 Changes
Ipportunities may modify this Agreement from time to time. Material changes will be communicated via the Software’s admin interface and/or email at least 30 days before they take effect.
15.2 Continued Use
Your continued use of the Software after modifications take effect constitutes acceptance of the modified terms.
16. General Provisions
16.1 Entire Agreement
This Agreement, together with the Privacy Policy, Data Processing Agreement, AI Disclaimer, and Support Policy, constitutes the entire agreement between you and Ipportunities regarding the Software.
16.2 Severability
If any provision of this Agreement is held to be unenforceable, the remaining provisions remain in full force and effect.
16.3 No Waiver
Failure to enforce any provision of this Agreement does not constitute a waiver of that provision.
16.4 Assignment
You may not assign this Agreement without Ipportunities’ prior written consent. Ipportunities may assign this Agreement in connection with a merger, acquisition, or sale of assets.
